Why ASC Units Appear in Estate Plans — and in Audits
ASC interests generate substantial passive distributions while carrying transfer restrictions and minority characteristics that support meaningful valuation discounts. Those same features make the value they hold worth moving into trusts and estate plans where ownership rules allow. A discounted transfer of surgery center value stands or falls on the quality of the appraisal behind it. Nechay Advisors prepares Detailed Reports for ASC gift and estate matters: qualified appraisals under the regulations, USPAP-compliant, with every discount tied to the entity's actual documents and distribution record.
The Analysis the IRS Expects
- Revenue Ruling 59-60 discipline. Fair market value is what a hypothetical willing buyer would pay for the specific units being transferred — not that interest's pro-rata share of the whole center's value.
- Discounts built from your documents. Lack-of-control discounts follow from the operating agreement's actual governance terms; marketability discounts from genuine transfer restrictions, physician-only ownership requirements, and redemption mechanics. Boilerplate percentages invite challenge; document-derived discounts survive it.
- Distribution sustainability. Examiners test whether historic distributions overstate durable value — payer mix trajectory, surgeon concentration, and OON exposure all enter the analysis, exactly as they would for any sophisticated buyer.
- Date-of-transfer precision. Gift date, date of death, or alternate valuation date — valued on only what was knowable then, not hindsight. The support is documented to the adequate-disclosure standard, which starts the IRS's limited window to challenge the gift.

Discovery Call
A confidential conversation about your surgery center, the interest being valued, your timeline, and the purpose of the valuation. We scope the right report tier before you commit to anything.
- 2
Financial Analysis & Interviews
We interview ownership and normalize the earnings base. Out-of-network revenue and related-party facility, management, and anesthesia arrangements all get restated. Typical turnaround: 1–2 weeks.
- 3
Certified Opinion of Value
You receive a defensible, USPAP-compliant conclusion of value for the specific interest being valued, whether controlling or minority. We walk you through it line by line, and the report is documented to withstand scrutiny from a buyer, a court, a partner, or a lender.

Frequently asked questions
There is no safe-harbor percentage, and pretending otherwise is how gifts get challenged. Combined control and marketability discounts vary with the agreement's terms, distribution policy, and redemption rights — our reports derive and defend the specific figure rather than asserting a customary one.
Ownership restrictions in the operating agreement and healthcare regulations constrain who may hold units; some structures work and some don't. That's a question for estate and healthcare counsel — we value the interest within whatever structure they establish.
It's evidence, not an answer. A redemption under a formula or under duress may not reflect fair market value for tax purposes. We weigh actual transactions in the market approach while testing whether their terms meet the willing-buyer standard.
Yes. Valuation engagements are handled remotely from our California office. We work from your financials, interview you by phone or video, and send you the finished report. We have completed valuations in more than 35 states, and an on-site visit can be arranged when an engagement calls for it. Very few appraisers anywhere focus on ambulatory surgery centers, so working with an ASC specialist remotely often serves you better than hiring a generalist nearby.
