How We Determine Value

We normalize before we multiply. Historic financials rarely show what a practice truly earns. We restate owner compensation to market, remove one-time expenses, adjust related-party leases, and strip out personal spending — producing the normalized cash flow that sophisticated buyers actually price.

We apply all three approaches. We reconcile the three into one supportable conclusion, documented so any reviewer can trace how we got there.

Asset (Cost) Approach

Establishes your floor value from tangible assets net of liabilities. When earnings are thin, this approach can drive the conclusion.

Market Approach

Benchmarks against real comparable practice sales and the EBITDA multiples they imply — comps carefully selected, and their multiples adjusted to fit your practice.

Typically 3–5 years of tax returns and P&Ls, a current balance sheet, production reports by provider, payer mix data, your lease, and any existing agreements (employment, buy-sell, MSO). We provide a checklist after the discovery call and work directly with your accountant if that’s easier for you.

Goodwill is the value above tangible assets — driven by patient base, referral patterns, payer contracts, workforce, and reputation. We measure it through the income and market approaches, and we distinguish practice goodwill (transferable) from personal goodwill (tied to you), a distinction that matters enormously in divorce and in deal structuring.

A valuation is an opinion of fair market value; an offer reflects a specific buyer’s strategy, synergies, and structure. Our conclusions are calibrated to real transaction data, so they land where serious buyers land — and when an offer deviates, the report shows you exactly why and gives you grounds to negotiate.

We can do that. When the client and the appraiser agree in advance on the methods and procedures to be used, the engagement is called a calculation engagement, and it produces a calculated value rather than an independent conclusion of value. It is a legitimate tool, common when a buy-sell or operating agreement prescribes a valuation formula the parties want applied. On the discovery call we will talk through what you need the number for and tell you honestly whether a calculation fits the purpose or whether it calls for a full appraisal.

Yes. Valuation engagements are handled remotely from our California office. We work from your financials, interview you by phone or video, and send you the finished report. We have completed valuations in more than 35 states, and an on-site visit can be arranged when an engagement calls for it. Many physicians have no local appraiser who focuses on medical practices, so working with a specialist remotely often serves you better than hiring a generalist nearby.
