Buying a practice, buying into a partnership, or acquiring ASC units is one of the largest financial decisions a physician will make — usually negotiated against a seller who has an advisor of their own. What We Do for Buyers
- Independent valuation of the target. Before you accept the seller's number, we normalize their financials — owner compensation, one-time items, related-party arrangements — and value the practice or interest under all three approaches. - Offer and LOI review. Hourly consulting on the deal in front of you: is the price defensible, what does the structure really cost you, and which terms would we push back on first. This is the engagement for physicians staring at a signature line.
- Buy-in due diligence. For partnership buy-ins, we test the payback math: post-buy-in compensation, distribution rights under the operating agreement, and how long the income stream takes to return your investment.

What Buyers Routinely Miss
Sellers' add-backs deserve skepticism. That "one-time" expense recurring three years running, the spouse on payroll whose duties are unclear, the below-market rent from the seller's own building LLC that resets after closing — normalization works in both directions, and buy-side normalization is where purchase prices come down.
Transferability is your risk now. Patient loyalty, referral relationships, and payer contracts that depend on the seller personally are value that may walk out with them. We assess what actually transfers and structure protections — transition periods, holdbacks, earnouts — for what may not.
The income statement isn't the deal. Asset versus stock purchase, working capital terms, and liability assumptions change what you really pay. We model the after-structure economics so you compare deals, not headlines.

Because it was prepared for the seller’s purposes. It may be entirely competent — and still built on normalization judgments that favor the engaging party. An independent review either confirms the number (useful) or finds the gaps (more useful). Either way you negotiate informed.
Offer reviews and second opinions run as hourly consulting, typically a small fraction of one percent of the deal. Full independent valuations and ongoing negotiation support are scoped as fixed fees after the discovery call. Dollar for dollar, it’s one of the highest-return decisions a buyer can make.
That’s answerable, not rhetorical: we value the interest, test the formula in your agreements against market reality, and model your post-buy-in income against the price. Most buy-in reviews complete within 1–2 weeks — inside a typical offer window.
