Outpatient migration has made California surgery centers strategic assets: hospital systems need ambulatory footprints, PE-backed operators need platform acquisitions, and physician groups need OR capacity. But strong demand doesn't automatically mean strong outcomes. Centers that go to market with inflated out-of-network earnings, unexamined surgeon concentration, or no independent valuation get repriced in diligence — usually after exclusivity has removed their leverage. Step One: A Valuation That Anticipates Diligence

Every ASC engagement begins by putting your numbers through the same scrutiny a buyer's diligence team will apply, performed by a Certified Valuation Analyst. We normalize out-of-network revenue to sustainable in-network economics, quantify physician concentration risk, restate related-party leases and management fees to market, and value the actual interest being sold, controlling or otherwise. The result: a price that holds from offer to close.

Step Two: Confidential, Competitive Marketing

We approach the buyer categories that fit your center's profile — hospital systems seeking network capture, ASC operators and private equity seeking platforms or add-ons, physician groups seeking capacity — strictly under NDA. ASC confidentiality is harsher than practice confidentiality: a leak can unsettle the very surgeons whose volume is the asset. Identity and data release are staged, and your physician partners are briefed on the timeline you control.

Step Three: Structure Is Where the Money Is

Two offers with identical headlines can differ by seven figures after structure:

  • Stock vs. asset purchase — tax treatment, liability transfer, and contract assignment all diverge; we guide you to the structure that fits your situation best.
  • Full sale vs. majority recap — selling 100% maximizes certainty; selling 60–70% to a strategic partner monetizes now while preserving physician upside (the "second bite"). We price both paths against the valuation.
  • Earnouts and volume commitments — common where surgeon concentration is high; we negotiate terms tied to things you control.
  • Retained-interest protections — distribution policy, governance rights, and exit mechanics for any equity physicians keep.

Hospitals typically buy control for network strategy and may restructure operations toward hospital economics; PE operators buy growth and usually want physicians retaining equity and producing volume. Price, autonomy, and your post-sale role differ substantially — running both buyer types in parallel is how you learn which trade-offs are real.

Often, yes. Majority recapitalizations, partial redemptions funded at close, and staged buyouts can let exiting partners monetize while continuing partners retain equity. The operating agreement’s transfer and drag/tag provisions determine the available paths — we map them early.

They’ll underwrite your earnings as if the OON book converts to in-network rates — and price accordingly. We present in-network-equivalent earnings from the start, which paradoxically increases buyer confidence and final value: nothing kills a premium like diligence discovering the seller’s numbers were soft.

Optional, and increasingly sellers keep it: a market-rate lease to the buyer turns the building into long-term income. We coordinate the business sale with your real estate strategy either way; the valuation separates the two cleanly.

Concentrated bursts: initial interviews during valuation, management presentations for finalists, and diligence responses we largely quarterback. Surgeons keep operating; we keep the process from invading the OR schedule.

A commission is paid at closing. Our standard rate is 10%, with a sliding scale on larger transactions. Your exact fee is confirmed in writing before you engage us.
