Not necessarily, but it shapes how the sale can be run. ROFR terms vary from one JV agreement to another, and the details matter. We start by reading your agreement, together with your attorney, and plan buyer outreach around what it actually says. Centers with a ROFR do sell; the right just has to be respected in how the process is run.

Especially then. Many center sales start from exactly that split, and a sale does not have to be all or nothing. Partners who want out can sell their full stake while the rest keep their equity, buyouts can be staged over time, and different partners can get different terms. The valuation gives the partnership a shared factual baseline for the debate.
