The Most Common ASC Valuation We Do
Surgery centers live on physician ownership turnover: recruiting a young surgeon with units, redeeming a retiring partner's interest, rebalancing after a partner's case volume drops. Each transaction needs a number — and ASC operating agreements, distribution waterfalls, and regulatory overlays make that number more intricate than a practice buy-in. Nechay Advisors values ASC interests for buy-ins and buy-outs across California, usually as the single independent appraiser both sides retain.
Why ASC Interests Are Their Own Animal
The operating agreement is half the analysis. Distribution rights, mandatory redemption triggers, non-compete-linked forfeitures, transfer restrictions, and stale valuation formulas all shape what a unit is actually worth. We read the agreement before we touch the P&L.
Minority units carry real discounts — usually. A 5% passive interest can't control distributions or force a sale, and can't be sold on an open market. Discounts for lack of control and marketability apply under fair market value — but many agreements specify their own standard, and healthcare regulatory considerations push physician buy-ins toward FMV pricing rather than sweetheart terms. We document the discount logic explicitly either way.
Earnings need ASC-specific normalization. Out-of-network revenue sustainability, case concentration among senior partners, payer contract trajectories, and related-party management or facility fees all get adjusted before any multiple is applied.
Buy-Outs and Departures
Redemptions of retiring or departing partners turn on the same analysis plus a timing question: trailing earnings or forward expectations, and as of which date. Where a departure is contested — alleged underpayment, disputed formula inputs — the engagement shifts toward our ASC shareholder dispute work. Engagement and Timing
Most buy-in engagements run as jointly retained Summary Reports, delivered in 1–2 weeks — fast enough to fit a recruitment offer cycle. If the operating agreement prescribes a unit-pricing formula, we can apply it as a calculation engagement instead. Annual unit-pricing refreshes for centers that transact regularly are efficient repeat engagements, since the normalization model is already built.
