How ASC Ownership Fights Start
A partner's case volume drops and the group invokes a redemption clause at a price he calls confiscatory. A center terminates a surgeon's units under a non-compete forfeiture provision she disputes. Minority owners allege the managing partners ran personal expenses and management fees through the center before pricing a buyout. ASC ownership structures — units, waterfalls, triggers, forfeitures — create dispute surfaces that ordinary practices don't have, and resolving them requires an appraiser fluent in both the valuation standards and the ASC economics.
The Analytical Battlegrounds
- Standard of value. Operating agreements may specify fair market value, "book value," a formula, or nothing at all; California remedies may impose fair value without discounts. Which standard applies often decides the case before methodology does. We brief it explicitly with counsel and build to it.
- Trigger-date earnings. Redemption disputes hinge on earnings as of a date — and on whether those earnings were genuine. We test for expense shifting, management fee changes, and distribution manipulation around the trigger.
- Discount fights. Whether minority and marketability discounts apply to a forced redemption is frequently the largest single dollar issue in the case. Our reports quantify value with and without, so counsel can argue the law while the math stands ready for either ruling.
- OON and concentration adjustments. Out-of-network revenue sustainability and surgeon concentration affect enterprise value — and both sides' experts will treat them differently. Ours are documented to survive the comparison.

We have completed valuations in more than 35 states, and an on-site visit can be arranged when an engagement calls for it. Very few appraisers anywhere focus on ambulatory surgery centers, so working with an ASC specialist remotely often serves you better than hiring a generalist nearby.
