Fair Value vs. Fair Market Value — The Decisive Distinction

Many California shareholder remedies apply a fair value standard, which typically excludes the minority and marketability discounts that fair market value permits. Applying the wrong standard is the most common — and most fatal — error in dispute valuations, and it can move a conclusion by 30% or more. We determine the governing standard from your agreements and the applicable statute with counsel, then build the analysis to that standard explicitly and put the reasoning in writing.

What We Examine

  • The governing documents. Shareholder, operating, and buy-sell agreements often specify formulas, appraisal procedures, or standards of value that control the outcome.
  • Earnings integrity. Were compensation, distributions, or expenses shifted ahead of the dispute? Normalization analysis surfaces manipulation — or rebuts the allegation of it.
  • The interest itself. Voting rights, distribution rights, and transfer restrictions all shape what the disputed block is worth under the applicable standard.

That's precisely what normalization analysis tests: compensation changes, expense timing, related-party payments, and deferred revenue patterns around the triggering date, benchmarked against the practice's own history and industry norms.

We perform a rebuttal review — auditing their standard of value, normalization, comparables, and discounts. Sometimes the right answer is a full competing appraisal; sometimes a targeted critique is enough to move settlement. We'll tell you which.

Yes. Valuation engagements are handled remotely from our California office. We work from your financials, interview you by phone or video, and send you the finished report. We have completed valuations in more than 35 states, and an on-site visit can be arranged when an engagement calls for it. Many physicians have no local appraiser who focuses on medical practices, so working with a specialist remotely often serves you better than hiring a generalist nearby.
