Two numbers, honestly presented: historic earnings as they are, and normalized in-network-equivalent earnings — with the valuation concluding on the sustainable base. Buyers price the second number; owners deserve to see both and the bridge between them.

From the operating agreement outward: distribution rights, transfer restrictions, and redemption mechanics define the interest; enterprise value, then documented control and marketability adjustments, price it. LA's transaction density gives us unusually good evidence for those adjustments.

Independent valuation first, before responding substantively. Pre-emptive offers exist to avoid competition; your counter-position is knowing what a competitive process would likely produce.
